## 1. Agreement to Terms

By downloading, installing, or using the JV10 Academy application ("App"), you ("you," "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the App.

If you are accepting these Terms on behalf of an organization (a sports club, team, or school), you represent that you have authority to bind that organization.

## 2. Who May Use This App

### 2.1 Age Requirements

The App is intended primarily for use by adults (18 years of age or older), including parents, legal guardians, coaches, and team administrators. Minor players may use the App only if a parent or legal guardian has approved their access and agrees to supervise their use. The App is not intended for unsupervised use by minors.

### 2.2 Minor Players

By registering a minor player through the App, you represent that you are the child's parent or legal guardian with full authority to:

- Provide consent for data collection about the minor (as required under COPPA);

- Agree to these Terms and the Privacy Policy on the minor's behalf; and

- Grant the minor's coaches and team administrators access to the registered information.

If you enable App access for a minor player, you represent that you approve that minor's use of the App, accept these Terms and the Privacy Policy on their behalf, and agree to supervise their use of the App.

### 2.3 Account Requirements

To use the App, you must:

- Provide accurate and complete registration information;

- Maintain the security of your account credentials;

- Promptly notify us at info@jv10academy.com of any unauthorized account access;

- Use the App only for its intended purpose — managing youth sports registration and team communication.

## 3. User Roles and Permissions

The App uses a role-based access control system. Your access is determined by the role assigned to your account:

Roles are assigned by an administrator. You may not attempt to access features or data beyond your assigned role.

## 4. User Conduct

You agree not to:

- Provide false, misleading, or inaccurate information, including false identity information about a minor player;

- Use the App to harass, threaten, or harm any other user;

- Attempt to gain unauthorized access to other accounts, the App's backend infrastructure, or any connected systems;

- Reverse-engineer, decompile, or attempt to extract source code from the App;

- Use the App for any commercial purpose beyond its intended sports management use;

- Upload content that is unlawful, defamatory, obscene, or violates any third party's intellectual property rights;

- Use the App to transmit spam, unsolicited messages, or malware;

- Circumvent or interfere with any security measure, rate limit, or authentication control;

- Use automated tools, bots, or scripts to interact with the App.

## 5. Content You Submit

### 5.1 Your Content

When you submit photographs, messages, notes, or other content ("User Content"), you grant us a limited, non-exclusive license to store, process, and transmit that content solely to provide the App's services to you. We do not claim ownership of your User Content.

### 5.2 Content Standards

You represent that User Content you submit:

- Is accurate and truthful;

- Does not violate any law or third-party right;

- Does not contain personally identifiable information about individuals who have not consented to its use; and

- Does not include photographs or documents that were obtained without the subject's consent.

### 5.3 Medical and Sensitive Information

You are responsible for the accuracy of any medical or safety notes you enter. This information is not reviewed by medical professionals. We are not responsible for any decisions made based on medical notes stored in the App.

## 6. Waivers and Electronic Signatures

The App enables electronic signature of waivers using handwritten signatures captured on the device screen. By signing a waiver through the App:

- You agree that the electronic signature is legally binding to the same extent as a handwritten signature;

- You represent that you are the parent or legal guardian with authority to execute the waiver on behalf of the registered minor player; and

- You acknowledge that a confirmation email will be sent to your registered email address.

The legal validity of electronic signatures is governed by applicable law (e.g., the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and state Uniform Electronic Transactions Act (UETA) equivalents).

## 7. Push Notifications and Communications

By creating an account, you consent to receive:

- In-app notifications related to your account and registered players;

- Transactional emails (waiver confirmations, account alerts) to your registered email address.

Push notifications are optional. You may disable them in your device settings at any time.

We do not send marketing emails. If this changes, we will obtain your explicit consent first.

## 8. Third-Party Services

The App uses third-party services including Google Firebase (data storage and authentication), SendGrid (email delivery), Apple Sign In, and Google Sign-In. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the conduct of third-party service providers beyond our contractual relationship with them.

## 9. Intellectual Property

All App design, code, graphics, logos, and content created by us are owned by JV10 Academy LLC or licensed to us, and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from App content without our written permission.

## 10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

- The App will be uninterrupted, error-free, or secure at all times;

- Data stored in the App will never be lost, corrupted, or accessed without authorization;

- The App will function on all devices or with all operating system versions.

We are not a medical provider. Medical/safety notes stored in the App are for informational reference only and do not constitute medical advice.

## 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. If those laws apply to you, some of the above limitations may not apply.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless JV10 Academy LLC from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

- Your breach of these Terms;

- Your User Content;

- Your violation of any applicable law or third-party right; or

- Any claim related to a registration you submitted on behalf of a minor without proper authority.

## 13. Termination

### 13.1 Your Right to Terminate

You may delete your account at any time through the App settings or by contacting info@jv10academy.com.

### 13.2 Our Right to Terminate

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to by law. We will notify you by email when feasible except where doing so would create a legal risk or security concern.

### 13.3 Effect of Termination

Upon termination, your right to use the App ends immediately. We will handle your data upon deletion as described in the Privacy Policy.

## 14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Informal Resolution: Before filing a formal claim, you agree to contact us at info@jv10academy.com to attempt informal resolution. Most concerns can be resolved without formal proceedings.

Arbitration: Any unresolved dispute arising from these Terms will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), except for claims that qualify for small claims court. You waive the right to participate in a class-action lawsuit or class-wide arbitration.

This arbitration clause does not apply to users in the European Union or United Kingdom, who retain the right to bring claims in their local courts.

## 15. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes via in-app notification or email at least 14 days before the change takes effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.

If you do not accept the updated Terms, you must stop using the App and may delete your account.
